PRODUCER AGREEMENT

This Producer Agreement ("Agreement") is entered into as of [effective date] by and between [company / financier] and [producer name].

  1. 1. Engagement & Services

    [company / financier] ("Company") hereby engages [producer name] ("Producer") to render producing services in connection with the motion picture presently entitled [production name] ([description of the picture]). Producer shall render the following services: [producing services].

  2. 2. Term

    Producer's engagement shall commence on or about [start date] and continue through [engagement period]. Producer's services shall be non-exclusive.

  3. 3. Compensation

    As full consideration for Producer's services and all rights granted, Company shall pay Producer a fee of $40,000, payable as follows: [payment schedule].

  4. 4. Credit

    Provided Producer renders all required services, Company shall accord Producer credit substantially as: [credit], in the main title, separate card. Casual or inadvertent failure to comply shall not be a breach of this Agreement.

  5. 5. Approvals & Authority

    Producer shall have meaningful consultation rights with respect to material creative and business decisions, including key cast, director, and budget. Producer shall perform all services in good faith within the approved budget and schedule.

  6. 6. Work Made for Hire; Ownership

    All results and proceeds of Producer's services hereunder shall be deemed a work made for hire for Company, and Company shall be the sole author and owner of all right, title, and interest therein, including all copyrights and all rights of every kind, throughout the universe, in perpetuity, in all media now known or hereafter devised. To the extent any such results and proceeds are not deemed a work made for hire, Producer hereby irrevocably assigns them in their entirety to Company. Producer waives all so-called "moral rights" and rights of droit moral to the fullest extent permitted by applicable law.

  7. 7. Representations & Warranties

    Producer represents and warrants that Producer is free to enter into this Agreement and to render the services herein and is not subject to any conflicting obligation; that all services, materials, and contributions furnished by Producer shall be original to Producer or fully cleared for use; and that Producer shall comply with all applicable laws and with Company's reasonable safety, conduct, and business policies.

    This Agreement shall be governed by and construed under the laws of the State of California, without regard to its conflict-of-laws principles.
