DEFERRED COMPENSATION AGREEMENT

This Deferred Compensation Agreement ("Agreement") is entered into as of [effective date] by and between [company name], located at [company address] ("Company"), and [recipient name], located at [recipient address] ("Recipient").

1. SERVICES. Recipient is rendering services as [role] on the motion picture tentatively titled "[project title]" (the "Project").

2. DEFERRED COMPENSATION. Recipient agrees to defer compensation in the amount of [deferred amount] (the "Deferred Compensation"), which shall become payable only as set forth below.

3. PAYMENT. The Deferred Compensation shall be paid from first available Net Proceeds of the Project, in the priority set forth in the Project's recoupment/waterfall schedule.

4. PRIORITY. The Deferred Compensation shall be paid after recoupment of financing and investor capital, and before net profit participation.

5. NO GUARANTEE. Recipient acknowledges that the Deferred Compensation is payable solely from Net Proceeds, is not guaranteed, and may never be paid if the Project does not generate sufficient revenue.

6. NO INTEREST. The Deferred Compensation shall not accrue interest unless otherwise agreed in writing.

7. GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the State of California.

8. ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings.
